ARTICLE 1
Our invoices are payable in Antwerp, unless agreed otherwise in writing.
ARTICLE 2
Any late payment shall entail, automatically and without notice, an obligation for the client to pay an interest of 1% per month, as of the day following the due day.
ARTICLE 3
Any notice sent by us shall be charged an additional 25€.
ARTICLE 4
In the event of judicial recovery, a contractual indemnity equal to 10% of the amount due will be charged, on top of legal expenses.
ARTICLE 5
Liability is limited to the amount of the coverage for which the professional liability insurance has been underwritten.
ARTICLE 6
Any dispute shall be settled by the Antwerp courts exclusively. Belgian law shall apply.
ARTICLE 7
The registration of a Party on the Peppol network is deemed to be an irrevocable acceptance of the receipt of structured electronic invoices, which constitute the only legally valid invoices between the Parties. If a Party has not registered on the Peppol network in a timely manner, another legally valid method of sending the invoice may be used. Each Party is independently responsible for the configuration, availability and proper functioning of its Peppol access, as well as for its internal processes. An invoice is deemed to have been received as soon as it has been technically accepted by the Peppol Access Point of the receiving Party, regardless of whether that Party has actually consulted the invoice. The failure to consult, late forwarding or loss of an invoice due to a technical, organisational or internal problem at a Party has no effect on the validity of the invoice and can under no circumstances justify a postponement or refusal of payment. All fines, penalties, interest, costs, or other consequences arising from non-compliant invoicing or failure to comply with legal obligations regarding structured electronic invoicing shall be borne solely by the Party that committed the default, without prejudice to other legal remedies available to the other Party. Additional or deviating requirements regarding the content or structure of the invoice, which go beyond legal obligations, are only binding if they have been expressly agreed upon in advance between the parties.
